Private Equity: Patrimonium strengthens portfolio with further add-on acquisitions

19.12.25

Press Release

Baar, 19 December 2025: Patrimonium Private Equity announces further strategic add-on acquisitions for its portfolio companies B+G Schweiz AG (Bern, Switzerland) and TestSolutions GmbH (Frankfurt am Main, Germany). TestSolutions GmbH (software testing) has acquired ASQA Software Quality Assurance GmbH (Berlin), while B+G Schweiz AG (landscaping) has acquired Giammarino & Fils SA (Lausanne). The transactions make a substantial contribution to scaling platform investments in dynamic growth segments, according to Patrimonium’s buy-and-build strategy.

TestSolutions GmbH acquires ASQA Software Quality Assurance GmbH

TestSolutions GmbH (“TestSolutions”), a leading provider of end-to-end quality assurance services for software development and application, acquired the business operations of Berlin-based ASQA Software Quality Assurance GmbH in December 2025 as part of an asset deal.

Through this acquisition, TestSolutions integrates additional expertise into its existing service portfolio, particularly in the areas of mobile testing, test automation, and test management. The transaction also strengthens the company’s market presence in the German-speaking region (DACH). By expanding its competencies and service offering, TestSolutions will be able to attract new customers and further strengthen relationships with existing clients through new cross-selling and upselling opportunities.

The former owner and managing director, Enrico Ausborn, will remain responsible for operational activities at the Berlin location, ensuring continuity for both customers and employees. This step represents a significant milestone in TestSolutions’ growth strategy, which focuses on both organic and strategic expansion to further strengthen its leading position in digital quality assurance in the DACH region.

B+G Schweiz AG acquires Giammarino & Fils SA

In October 2025, the Swiss garden and landscaping group B+G Schweiz AG, headquartered in Bern, integrated the family-owned company Giammarino & Fils SA from Lausanne (VD) into its group structure. The transaction strengthens the group’s presence and service offering in Western Switzerland.

Founded in 1981, Giammarino & Fils SA is a family-owned company with a strong local customer base and an established service portfolio in garden and landscape construction. The combination significantly deepens geographical coverage and further strengthens B+G Schweiz AG’s competitive position, particularly with customers operating across regions.

Through both transactions, Patrimonium Private Equity continues to strengthen the structural development and scalability of its portfolio companies as part of its active buy-and-build strategy.

In addition to TestSolutions, Patrimonium Private Equity’s digitalization and IT portfolio includes Grouplink and :em engineering methods. Alongside B+G Schweiz AG (garden and landscape construction), the portfolio also comprises TECLAC (surface technology), Octo Actuators (electric drive systems), and the Roth Group (building insulation and fire protection).

Performance and risk

Positive returns (value accretion) in the past are not a guarantee of positive returns in the future. In particular, there is no guarantee that an investor’s capital will be protected or that the value of employed capital or of shares will be equal to or greater than an investor’s original investment when the investor sells his shares or withdraws his capital. Investments in foreign currencies are exposed to the additional risk of unfavourable movements in exchange rates. If an investment is denominated in a currency other than your base currency, changes in the rate of exchange may have an adverse effect on value, price or income. The price and value of investments mentioned and any income that might accrue may fluctuate and may fall or rise. The value of such investments depends in part on the volatility of the corresponding exchange rates, and movements in these rates might bear negatively on the value of invested capital. The potential risks and returns of investments are also dependent on the managers’ investments policies and emphases. The value of investments may go up as well as down. Like any investment, an investment with Patrimonium has risks, in particular the risk of losing the amount invested. The risk factors of the financial instruments discussed on the Website are described in more detail in the fund prospectuses.
