Patrimonium Swiss Real Estate Fund thereby set to grow to over CHF 2 billion in assets under management
AD HOC PRESS RELEASE PURSUANT TO ART. 53 KR
Crissier (VD) / Baar (ZG), 2 November 2026: Patrimonium Asset Management AG, as the fund manager of the Patrimonium Swiss Real Estate Fund (SIX: ‘PSREF’) and, subject to approval by the Swiss Financial Market Supervisory Authority (FINMA), as the future fund manager of Sustainable Real Estate Investments SICAV (‘SICAV’), plans to integrate the ‘Sustainable Real Estate Switzerland’ sub-fund (SIX: ‘SRES’) into the Patrimonium Swiss Real Estate Fund in the course of 2027.
This would create a broadly diversified Swiss property portfolio with assets under management of over CHF 1.8 billion. Through the implementation of its current acquisition and project pipeline, the PSREF will grow organically to assets under management of over CHF 2 billion.
The planned merger forms part of the integration of Sustainable Real Estate AG into the Patrimonium Group. Patrimonium Holding AG acquired all shares in Sustainable Real Estate AG, and thus indirectly all founder’s shares in the SICAV, with effect from 1 July 2026. The necessary integration steps have been initiated since then.
Gradual implementation subject to FINMA approvals – key milestones initiated
Subject to FINMA’s approval, Patrimonium Asset Management AG will assume the fund management function of the SICAV with effect from 1 January 2027 and manage its portfolio directly. At the same time, the SICAV is set to change its valuation experts to Wüest Partner AG, its custodian bank to Banque Cantonale Vaudoise, and its auditors to Deloitte AG. Consequently, the property valuations as at 31 March 2027 for the SRES will, for the first time – as is the case for the PSREF – be carried out by Wüest Partner. In the first half of 2027, the SRES is to be converted into a contractual investment fund of the property fund type. At the Annual General Meeting on 22 October 2026, the SICAV’s shareholders laid the necessary groundwork for this in the investment regulations. The majority of the required tax rulings are already in place, meaning that, from this perspective, there are currently no obstacles to a merger.
In parallel, the fund documents of the Patrimonium Swiss Real Estate Fund and the SRES – which will become a contractual property fund following the conversion – are being harmonised in respect of the points relevant under the law for a fund merger. The individual intermediate steps, as well as the final merger, are also subject to approval by FINMA. The conversion of the SRES into a contractual fund additionally requires the approval of the shareholders.
Economies of scale, sustainability and higher returns for investors
The merger will result in a geographically more diversified portfolio with a stronger presence in German-speaking Switzerland.
Economies of scale and cost optimisations across the entire value chain will strengthen the operational profitability and EBIT margin of the Patrimonium Swiss Real Estate Fund. At the same time, the sustainability profile and the CO₂ reduction trajectory of the overall portfolio will improve.
“With the planned merger, we are laying the foundations for broader diversification of the Patrimonium Swiss Real Estate Fund. Investors will benefit from additional economies of scale, a broader base for the portfolio and expanded growth opportunities,” says Christoph Syz, CEO of the Patrimonium Group.
“The merged fund will have greater visibility and market liquidity. For investors in Sustainable Real Estate Switzerland, this means an even more attractive investment opportunity in Swiss residential property,” says Marco Scheurer, Managing Director of Sustainable Real Estate AG.
Merger planned for summer 2027
As the acquiring, listed, contractual property fund, the PSREF is to retain its existing structure, security code and ISIN number, and its track record. According to current plans, the merger of the fund is scheduled for summer 2027. The necessary announcements containing further details will be made in the course of 2027.
Resolutions of the SREI SICAV Annual General Meeting
At the SICAV’s Annual General Meeting on 22 October 2026, the shareholders approved all motions. These included, in particular, the election of Christoph Syz to the SICAV’s Board of Directors, the amendment of the investment regulations in preparation for the conversion into a contractual investment fund, the change of auditors, and the extraordinary shortening of the 2026/27 financial year to 31 March 2027, subject to approval by FINMA. For the 2025/26 financial year, a distribution of CHF 2.81 was approved for the SRES investor sub-fund; the ex-dividend date was 26 October 2026 and the distribution date was 28 October 2026.
The PSREF and the SICAV will continue to prepare separate annual accounts as at 31 March 2027 and will each make separate dividend distributions in June 2027.
Reservation
The steps described and the planned merger are subject to the necessary approvals from FINMA. No entitlement to implementation or to a specific completion date can be inferred from the plans.
